These Terms of Use (“Terms”) constitute a legally binding agreement between you and Groupie Connect LLC d/b/a Groupie (“Groupie,” “we,” “us,” or “our”). These Terms govern your access to and use of Groupie’s websites, platform, applications, and services (collectively, the “Services”).

By accessing or using the Services, creating an account, or clicking an acceptance button, you acknowledge that you have read, understood, and agree to be bound by these Terms and all incorporated policies, including the Privacy Policy and Messaging Compliance & Anti-Spam Policy.


1. Overview & Acceptance

By using the Services, you enter into a binding agreement with Groupie. If you do not agree to these Terms, you may not access or use the Services.

Groupie reserves the right to update these Terms at any time. Changes are effective upon posting. Continued use of the Services constitutes acceptance of the revised Terms.


2. Definitions & Parties

  • “Groupie,” “we,” “us,” “our” means Groupie Connect LLC d/b/a Groupie.

  • “Customer,” “you,” “your” means the individual or entity using the Services.

  • “End Users” or “Contacts” means individuals whose information is uploaded or messaged by Customers.

  • “Services” means Groupie’s messaging platform, software, tools, and related services.

If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.


3. Description of Services

Groupie provides a 100% opt-in application-to-person (“A2P”) SMS and MMS messaging platform that enables Customers to manage contacts, send messages, and track engagement.

Groupie acts solely as a technology and infrastructure provider and does not originate messages on behalf of Customers.


4. Service Availability & Message Delivery

Groupie does not guarantee uninterrupted service or message delivery. Message delivery depends on third-party carriers, aggregators, network conditions, recipient devices, and regulatory filtering.

Messages may be delayed, blocked, filtered, or fail for reasons beyond Groupie’s control. Credits are deducted upon message submission, regardless of delivery status.

Mobile carriers and messaging providers may filter, block, delay, or reject messages based on their own policies, content guidelines, and regulatory obligations. Groupie has no control over carrier filtering decisions and is not responsible for message delivery failures caused by carrier enforcement.


5. Privacy & Data Handling

Your use of the Services is governed by our Privacy Policy. Groupie processes Customer and End User data solely to provide and operate the Services.

Customers remain the data controllers for End User contact data and message content.


6. Security Responsibilities

Groupie employs commercially reasonable security measures to protect the Services. However, no system is completely secure.

You are responsible for:

  • Maintaining the confidentiality of account credentials

  • All activity conducted under your account

  • Promptly notifying Groupie of any unauthorized access

Unauthorized access, abuse, or interference with the Services is strictly prohibited.


7. Accounts

To use the Services, you must provide accurate, current, and complete account information.

Groupie may suspend or terminate accounts engaged in fraud, abuse, legal violations, or breaches of these Terms.


8. Messaging Compliance & Customer Obligations

You agree to comply with all applicable laws and regulations, including but not limited to:

  • Telephone Consumer Protection Act (TCPA)

  • CAN-SPAM Act

  • CTIA Messaging Principles & Best Practices

  • A2P 10DLC requirements

  • Carrier and aggregator policies

You represent and warrant that:

  • You have obtained valid, express consent from all End Users

  • You honor STOP, HELP, and opt-out requests immediately

  • You do not send unsolicited or deceptive messages

  • Your content complies with all messaging rules and laws

  • Customers must obtain clear, documented opt-in consent before sending any marketing or promotional messages to End Users. Consent must be obtained through a voluntary action such as submitting a web form, scanning a QR code, sending a keyword, or another compliant opt-in method. Purchased lists, scraped contacts, or third-party data sources are strictly prohibited.
  • Customers must immediately honor all opt-out requests including STOP, CANCEL, UNSUBSCRIBE, END, or QUIT. Groupie automatically processes standard carrier opt-out commands and blocks further messaging to those numbers.

To protect messaging networks and maintain compliance with carrier policies, Groupie reserves the right to review message traffic patterns, investigate suspected abuse, and suspend accounts that generate excessive complaints, spam reports, or regulatory violations.

Groupie may monitor traffic and enforce compliance to protect the network.


9. Prohibited Uses

You may not use the Services to:

  • Send spam or unsolicited messages

  • Misrepresent message origin or intent

  • Transmit unlawful, abusive, or misleading content

  • Infringe intellectual property or privacy rights

  • Interfere with networks, carriers, or platform integrity


10. Payments, Fees & Billing

Fees are disclosed on Groupie’s website or within the platform and are due in advance unless otherwise stated.

All fees are non-refundable, except where required by law or in the event of a billing error.

Groupie may modify pricing with advance notice.


11. SMS Credits

11.1 Credit Usage

Credits are required to send SMS or MMS messages. Credit usage varies based on message length, destination, carrier segmentation, and network fees.

Credits are deducted at message submission, not delivery.


11.2 Credit Expiration & Rollover

Credits may be issued as part of a subscription plan or purchased separately.

Rollover Plans:

For subscription plans that include rollover, unused plan-included credits roll over to the next billing cycle as long as the subscription remains active and in good standing. Rollover credits do not accumulate indefinitely and may be subject to caps or expiration limits disclosed within the platform or at purchase.

If a subscription is canceled, downgraded, paused, suspended, or terminated for any reason, all unused rollover credits are forfeited immediately, unless otherwise required by law.

Non-Rollover Plans:

For plans without rollover, unused plan-included credits expire at the end of the billing cycle.

Purchased Add-On Credits:

Separately purchased credits expire twelve (12) months from the date of purchase unless otherwise stated.

General Rules:

  • Credits have no cash value

  • Credits are non-refundable and non-transferable

  • Credits are deducted regardless of delivery outcome


12. Intellectual Property

All software, trademarks, technology, and content associated with the Services are owned by Groupie or its licensors.

You may not copy, modify, reverse engineer, or distribute Groupie intellectual property without prior written consent.


13. Suspension & Termination

Groupie may suspend or terminate access to the Services immediately and without notice if necessary to:

  • Comply with law or carrier directives

  • Prevent abuse or harm

  • Enforce these Terms

Upon termination, unused credits are forfeited unless required by law.


14. Disclaimer of Warranties

The Services are provided “as is” and “as available.” Groupie disclaims all warranties, express or implied.


15. Limitation of Liability

To the maximum extent permitted by law, Groupie shall not be liable for indirect, incidental, consequential, or punitive damages.

Groupie’s total liability shall not exceed the amount paid by you to Groupie in the twelve (12) months preceding the claim.


16. Indemnification

You agree to indemnify and hold harmless Groupie from claims, damages, fines, or expenses arising from:

  • Your use of the Services

  • Your message content

  • Your violation of law or carrier rules


17. Arbitration & Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in the State of New York, except where prohibited by law.


18. Communications

You consent to receive transactional, administrative, and service-related communications from Groupie.

Marketing emails include unsubscribe options.
